IMPORTANT NOTICE: BY DOWNLOADING, INSTALLING, OR USING THE RECEPTIONMATE APPLICATION, YOU AGREE TO BE BOUND BY ALL THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE, DO NOT DOWNLOAD, INSTALL, OR USE THE SOFTWARE.
This End User License Agreement ("Agreement") is a legal agreement between you (either an individual clinician, practice, or a single entity) and MedCortico ("Company", "we", "us", or "our") governing your use of the ReceptionMate software application ("Software" or "Application"), including all associated media, databases, printed materials, and online or electronic documentation.
1. License Grant and Scope
Subject to your strict compliance with the terms of this Agreement, MedCortico grants you a limited, non-exclusive, non-transferable, revocable, personal license to download, install, and use the Software on devices owned or controlled by you, solely for your internal professional clinic management and billing operations.
2. Restrictions on Use
You agree not to, and you will not permit others to:
- No Software Modification: Modify, edit, adapt, translate, alter, customize, or create derivative works of the Software or any portion thereof.
- No Reverse Engineering: Decompile, disassemble, reverse engineer, decipher, or otherwise attempt to derive or determine the source code, underlying algorithms, structure, or organization of the Software.
- No Distribution or Sublicensing: Rent, lease, lend, sell, sublicense, assign, distribute, publish, transfer, or otherwise make the Software available to any third party.
- No Tampering: Bypass, exploit, or disable any security features, licensing keys, digital rights management, or copy-protection mechanisms in the Software.
3. Intellectual Property and Copyright
You acknowledge and agree that:
- The Software is licensed, not sold, to you. MedCortico retains sole and exclusive ownership of all right, title, and interest in and to the Software, including all copyrights, patents, trademarks, trade secrets, and other intellectual property rights therein.
- The structure, organization, code, graphics, user interface design, logos, and brands associated with ReceptionMate are the valuable trade secrets and copyrighted property of MedCortico.
- This Agreement does not grant you any ownership rights or any rights to use MedCortico trademarks or brand assets without prior written consent. Unauthorized replication, modification, or editing of the software is strictly forbidden by copyright law and international treaties.
4. Privacy and Data Security
Your privacy and data security are of paramount importance to us. In connection with your use of ReceptionMate:
- Data Collection: We collect and process clinical and operational data (such as inventory records, appointment schedules, billing history, and patient profiles) solely to deliver and optimize the features of the Application.
- No Sale of Data: MedCortico strictly forbids and does not engage in the sale of your clinical, personal, or administrative data to any third party, broker, or advertiser under any circumstances. Your data is used exclusively to facilitate your clinic's workflows and will never be shared for advertising purposes.
- Aggregate Analytics: We may use anonymized, aggregated statistical data to improve Application performance and stability, in accordance with our Privacy Policy.
5. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED TO YOU "AS IS" AND WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, MEDCORTICO EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE SOFTWARE, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
6. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MEDCORTICO BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, LOSS OF CLINICAL DATA, BUSINESS INTERRUPTION, OR LOSS OF PRIVACY) ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE.
7. Termination
This Agreement and the license granted hereunder are effective until terminated. Your rights under this Agreement will terminate automatically without notice from MedCortico if you fail to comply with any term(s) of this Agreement. Upon termination, you must immediately cease all use of the Software and delete all copies in your possession.
8. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of India, without giving effect to any choice of law principles. Any legal suit, action, or proceeding arising out of or related to this Agreement shall be instituted exclusively in the courts of New Delhi, India.
